1. About these Terms
These Terms of Use ("Terms") govern your access to and use of New Groove Map, including the website, interactive map, business directory, search and filtering tools, business profiles, listing application functionality and associated services (together, the "Platform").
The Platform is operated by Veltrion Group Pty Ltd (ABN 14 691 155 414 / ACN 691 155 414) ("Veltrion Group", "we", "us" or "our").
New Groove, New Groove Creative and New Groove Map are registered business names of Veltrion Group Pty Ltd.
Registered office:
Level 2, 123 Adelaide Terrace
East Perth WA 6004
Australia
New Groove Map's principal place of business is in Maitland, New South Wales, Australia.
By accessing, browsing or using the Platform, you agree to these Terms.
If you do not agree to these Terms, you should not use the Platform.
2. Additional terms
Certain services may be subject to additional terms, including:
- paid business listing terms;
- advertising terms;
- promotional campaign terms;
- business onboarding terms;
- payment terms;
- specific application conditions; or
- other written agreements between us and a business or user.
If additional terms conflict with these Terms, the additional terms prevail to the extent of the inconsistency for the relevant service.
Our Privacy Policy forms part of the framework governing use of the Platform but is not intended to reduce any rights you may have under applicable law.
3. Eligibility
You may use the public-facing Platform if you are legally capable of doing so.
If you submit information on behalf of a business, organisation or other person, you represent and warrant that you have authority to do so.
If you enter into a paid or commercial arrangement with us, you must have legal capacity and authority to bind the relevant person or entity.
4. Purpose of New Groove Map
New Groove Map is a local-business discovery platform intended to help users find and learn about businesses, services and community organisations, particularly across New South Wales.
The Platform may enable users to:
- search by suburb, postcode, business name or category;
- browse businesses by category;
- view businesses on an interactive map;
- view business profiles;
- access directions;
- follow links to third-party websites or services;
- apply to have a business listed;
- contact New Groove Map; and
- use other functionality we introduce from time to time.
5. No endorsement or guarantee
A business appearing on New Groove Map is not necessarily endorsed, approved, accredited, certified, sponsored or recommended by us.
Unless we expressly state otherwise, we do not independently guarantee:
- the quality of a business;
- the suitability of a business for a particular user;
- professional qualifications;
- licensing status;
- insurance status;
- regulatory compliance;
- product quality;
- availability;
- pricing;
- opening hours;
- accessibility;
- service quality;
- safety;
- reputation; or
- accuracy of claims made by a listed business.
Users should make their own enquiries before relying on a listing or entering into a transaction with a business.
6. Business information and accuracy
We aim to present useful and accurate local-business information, but business information can change without notice.
Information displayed on the Platform may originate from:
- a business owner or representative;
- publicly available sources;
- third-party data sources;
- user submissions;
- our own research; or
- a combination of these.
Although we may review, moderate or verify information, we do not warrant that every listing is complete, current, error-free or independently verified.
The words "verified", "real locations" or similar language, if used on the Platform, refer only to the verification process we choose to apply and do not amount to a legal, regulatory, financial, safety or quality certification.
Users should independently confirm material information directly with the relevant business.
7. Map locations, geocoding and directions
Map markers, addresses, geocoding, directions, distance estimates and location information may be generated or supported by third-party mapping or geolocation services.
Location information may be approximate or inaccurate.
You must not rely on the Platform as your sole source for:
- emergency navigation;
- safety-critical navigation;
- road closures;
- hazard information;
- accessibility routing;
- property boundaries;
- legal land descriptions; or
- any other purpose where location accuracy is critical.
Always use appropriate official or specialist sources where accuracy or safety is important.
8. Third-party businesses
New Groove Map helps users discover third-party businesses.
Any transaction, booking, purchase, service engagement, enquiry or other relationship between you and a listed business is between you and that business unless we expressly state otherwise.
We are not a party to contracts entered into between users and listed businesses merely because the business was discovered through the Platform.
Any dispute about a product, service, booking, payment, refund or business conduct should generally be taken up directly with the relevant business.
Nothing in these Terms excludes any liability we may have under law for our own conduct.
9. Third-party websites and services
The Platform may link to third-party websites, social media pages, ordering platforms, booking systems, map services, payment platforms or other external services.
We do not control those services.
A link does not necessarily indicate endorsement.
Your use of a third-party service is subject to that third party's own terms, policies and practices.
To the maximum extent permitted by law, we are not responsible for the availability, security, accuracy, content or conduct of independent third-party services.
10. Business listing applications
Businesses may be able to apply to be included on New Groove Map through functionality such as "Put me on the map", "Get Listed" or "Apply now".
Submission of an application does not guarantee acceptance.
We may consider factors including:
- whether the business operates in a supported geographic area;
- whether information is complete;
- whether the business can be reasonably verified;
- whether the listing fits the Platform;
- whether the business appears legitimate;
- category availability;
- content quality;
- technical requirements;
- applicable law;
- reputational or safety considerations; and
- other reasonable operational considerations.
We may accept, reject, defer or request further information about an application.
Unless otherwise agreed in writing, we are not obliged to provide reasons for refusing or removing a listing, subject to applicable law.
11. Business representative obligations
If you submit, claim, update or manage a business listing, you represent and warrant that:
- you are authorised to act for the business;
- all information you provide is accurate, current and not misleading;
- you have the right to provide any logo, image, photograph, text or other content submitted;
- submitted content does not infringe intellectual property, privacy, publicity or other rights;
- you will not submit unlawful, defamatory, deceptive, discriminatory, harmful or fraudulent content;
- you will promptly notify us of material changes to listing information; and
- your business complies with laws applicable to its operations.
You must not misrepresent your relationship with a business or attempt to claim a listing without authority.
12. Listing content licence
If you submit text, logos, photographs, business descriptions or other content for publication on New Groove Map ("Listing Content"), you retain any ownership rights you have in that content.
You grant us a non-exclusive, worldwide, royalty-free licence for so long as reasonably necessary to:
- host;
- store;
- reproduce;
- format;
- resize;
- crop;
- adapt;
- display;
- publish;
- communicate;
- distribute; and
- promote
the Listing Content for the purpose of operating, marketing and promoting New Groove Map and the relevant business listing.
You warrant that you have all rights necessary to grant this licence.
This licence does not transfer ownership of your intellectual property to us.
13. Moderation, suspension and removal
We may review, edit, reformat, correct, suspend, hide or remove content or listings where we reasonably consider it necessary, including where:
- information is inaccurate or outdated;
- a business has closed;
- content breaches these Terms;
- the listing appears fraudulent or misleading;
- we receive a credible complaint;
- the business is outside our supported scope;
- content may infringe third-party rights;
- publication creates legal, security or safety risk;
- required information is not provided; or
- continued publication is not commercially or operationally appropriate.
We may preserve records of removed content where reasonably necessary for legal, security or administrative purposes.
14. User conduct
You must not use the Platform:
- unlawfully;
- fraudulently;
- in a way that infringes another person's rights;
- to impersonate another person or business;
- to submit false or misleading information;
- to harass, threaten or abuse others;
- to upload malicious code;
- to interfere with Platform security;
- to gain unauthorised access to systems or data;
- to scrape or harvest personal information unlawfully;
- to overload, disrupt or damage the Platform;
- to reverse engineer the Platform except to the extent permitted by law;
- to circumvent technical protections;
- to use automated means to extract substantial parts of the Platform without our written permission;
- to reproduce the Platform as a competing directory or mapping product without permission; or
- in any other manner we reasonably consider abusive or harmful.
15. Automated access, scraping and data extraction
Unless permitted by us in writing or required by law, you must not use bots, crawlers, scrapers, spiders or other automated means to:
- systematically copy listings;
- create a competing database;
- harvest contact details;
- reproduce map data;
- extract substantial portions of Platform content; or
- interfere with normal Platform operation.
General-purpose search engine indexing that respects applicable technical controls is permitted.
16. Intellectual property
Except for third-party material and content owned by listed businesses, the Platform and its content are owned by or licensed to Veltrion Group.
This may include:
- the New Groove Map name and branding;
- New Groove and New Groove Creative branding;
- logos;
- site design;
- user interface;
- visual layout;
- text;
- graphics;
- icons;
- software;
- code;
- databases;
- selection and arrangement of content; and
- original editorial material.
Nothing in these Terms transfers ownership of our intellectual property to you.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for ordinary personal or business discovery purposes.
17. Trade marks
Names, logos and branding displayed on the Platform may be trade marks, business names or other protected identifiers owned by us or third parties.
You must not use our branding in a way that falsely suggests sponsorship, endorsement, partnership or affiliation.
18. Feedback
If you provide suggestions, ideas or feedback about the Platform, you agree that we may use that feedback without restriction or obligation to compensate you, provided that we do not claim ownership of pre-existing intellectual property merely because it is referred to in feedback.
19. Availability and changes to the Platform
We may modify, update, suspend, discontinue or restrict access to all or part of the Platform from time to time.
We do not guarantee uninterrupted or error-free availability.
Planned and unplanned outages may occur because of:
- maintenance;
- upgrades;
- hosting failures;
- third-party service interruptions;
- security events;
- telecommunications failures;
- force majeure events; or
- other circumstances.
20. Security
You must not attempt to compromise the security or integrity of the Platform.
If you become aware of a vulnerability or security issue, please report it to us responsibly and do not exploit it.
21. Privacy
Our collection and handling of personal information is described in our Privacy Policy.
By using the Platform, you acknowledge that your information may be handled in accordance with that Policy and applicable law.
22. Consumer rights and Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, condition, right or remedy that cannot lawfully be excluded, restricted or modified, including rights under the Australian Consumer Law.
Where the Australian Consumer Law applies, statutory consumer guarantees may apply to services supplied by us.
Any limitations of liability in these Terms operate only to the maximum extent permitted by law.
23. Disclaimers
Subject to any rights that cannot be excluded by law, the Platform is provided on an "as available" and "as is" basis.
To the maximum extent permitted by law, we do not warrant that:

24. Limitation of liability
To the maximum extent permitted by law, and subject to any non-excludable rights:
- we are not liable for loss arising solely from information supplied by an independent listed business or third party where we have acted reasonably;
- we are not liable for a user's independent decision to transact with a listed business;
- we are not liable for loss arising from reliance on map information for safety-critical, emergency or legally significant navigation purposes;
- we are not liable for indirect, incidental, special or consequential loss to the extent such liability may lawfully be excluded; and
- we are not liable for loss caused by events outside our reasonable control.
Nothing in this clause excludes liability to the extent exclusion would be unlawful.
25. Business users and commercial loss
Where you use the Platform wholly or predominantly for business purposes, and to the maximum extent permitted by law, we are not liable for:
- loss of profit;
- loss of revenue;
- loss of anticipated savings;

except to the extent such liability cannot lawfully be excluded.
26. Indemnity by business submitters
To the maximum extent permitted by law, if you submit or manage a business listing, you indemnify us against third-party claims, losses, liabilities, costs and expenses arising from:
- content you submit;
- your breach of these Terms;
- your lack of authority to act for a business;
- infringement of third-party intellectual property rights by submitted content;
- false, misleading or unlawful material supplied by you; or
- your unlawful use of the Platform.
This indemnity does not apply to the extent a claim is caused by our own negligence, unlawful conduct or breach.
27. Paid listings, promotions and future commercial services
New Groove Map may offer paid listings, promoted placements, advertising, enhanced profiles or other commercial services.
If we introduce such services, additional terms may apply.
Unless expressly stated otherwise:
- payment does not guarantee a particular ranking, traffic volume, enquiry volume or commercial result;
- sponsored or promoted placements may be identified as such where required;
- advertising must not be false or misleading; and
- statutory consumer rights continue to apply.
28. Ranking and search results
Search and display order may be influenced by factors such as:
- geographic relevance;
- selected category;
- search terms;
- listing completeness;
- data quality;
- Platform design;
- editorial curation;
- user experience considerations; and
- where clearly disclosed, promotional or sponsored placement.
We may change ranking systems from time to time.
29. Complaints about listings
If you believe a listing is inaccurate, misleading, unlawful or infringes your rights, contact us with:
- the listing concerned;
- the issue;
- supporting information;
- your relationship to the business or content; and
- the outcome you are seeking.
We may request additional evidence.
We may temporarily restrict content while we investigate, but we are not obliged to remove content merely because a complaint has been made.
30. Copyright and intellectual property complaints
If you believe content on the Platform infringes your intellectual property rights, contact us and provide:
- identification of the protected work or right;
- identification of the allegedly infringing material;
- your contact details;
- an explanation of your rights or authority; and
- enough information for us to assess the complaint.
We may remove or restrict disputed material while a complaint is reviewed.

We may restrict, suspend or terminate access to the Platform where reasonably necessary, including for:
- breach of these Terms;
- fraud;
- abuse;
- security risk;
- unlawful conduct;
- repeated infringement;

- protection of users, businesses or our legitimate interests.
Where practical and appropriate, we may provide notice, but immediate action may be taken where necessary.

The current version will be published on the Platform with an updated "Last updated" date.
If a change materially affects an existing paid or contractual relationship, we will provide any notice required by law or the relevant agreement.
Continued use of the public Platform after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by law.
33. Assignment
You may not assign or transfer rights under these Terms without our prior written consent.
We may assign or transfer our rights or obligations in connection with a restructure, sale, merger, financing, acquisition or transfer of the Platform or relevant business, subject to applicable law.
34. Severability
If a provision of these Terms is found to be invalid or unenforceable, it is to be read down to the extent necessary.
If it cannot be read down, it is severed without affecting the remaining provisions.
